What we need from you on this page

Just these items — everything else is handled by the web team or your lawyer:

  • Your company's exact legal name and the U.S. state it's incorporated in.
  • Your website's live domain (e.g. wellpeps.com).
  • The names of the medical entities that provide care through WellPeps (the same names used on the Notice of Privacy Practices).
  • Which U.S. states you are actually licensed to operate in — the site currently claims "all 50 states."
  • Confirmation that a Telehealth Informed Consent appears in the signup flow before a consultation.
  • For each plan: the real recurring price and how often it charges, any minimum commitment, what happens at renewal, exactly how a customer cancels, your refund policy, and any early-termination fee.
  • Who owns the WellPeps name, logo, and website content (for the trademark / intellectual-property lines), and whether any trademarks are registered.
  • Whether you send marketing text messages — a simple yes or no.
  • How, and how far in advance, you'll notify people when these terms change.
  • The date this goes live.

1. Acceptance of These Terms

These Terms of Use (“Terms”) are a binding agreement between you and You provide: your exact legal name, e.g. WellPeps, Inc., a Delaware corporation, together with its affiliates (“WellPeps,” “we,” “us,” or “our”), governing your access to and use of the website located at You provide: your live domain, our patient portal, and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

2. What WellPeps Is — and Is Not

WellPeps is a technology platform that connects individuals with independent, licensed healthcare providers and licensed pharmacy partners. WellPeps itself does not practice medicine or pharmacy and does not provide medical advice, diagnosis, or treatment. All medical services available through the Platform are provided by You provide: the names of the affiliated medical group(s) — must match the names used on the Notice of Privacy Practices, independent practices whose providers exercise independent clinical judgment. All prescriptions are filled by independent licensed pharmacies, including compounding pharmacies.

Depends on your lawyer's corporate-structure decision

The description above assumes a standard telehealth company structure. Lawyer: confirm the actual corporate structure before launch — it changes this section, the Notice of Privacy Practices framing, and the medical-disclaimer wording across the whole site.

3. Not for Medical Emergencies

The Platform is not intended for medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. If you are experiencing a mental health crisis, call or text 988 (Suicide & Crisis Lifeline).

4. Eligibility

You must be at least 18 years old, reside in a U.S. state where the services you request are available, and be able to form a binding contract to use the Platform. The services are available in You confirm: the states you are actually licensed in. The site currently claims “all 50 states” — that needs to be verified against your licensing before launch..

5. Telehealth Services and Informed Consent

Before receiving any telehealth consultation, you will be asked to review and accept a separate Telehealth Informed Consent describing the nature, benefits, and limitations of telehealth care. You confirm: a standalone Telehealth Informed Consent exists in the signup flow. Several states require specific consent language. A consultation does not guarantee that a provider will issue a prescription; treatment decisions are made solely by the provider based on their clinical judgment.

6. Prescription Products, Including Compounded Medications

Some products available through the Platform are compounded medications prepared by licensed compounding pharmacies. Compounded medications are not FDA-approved. The FDA does not review compounded drugs for safety, effectiveness, or quality before they are dispensed. Registration of a compounding facility with the FDA is not a determination by the FDA that any drug produced there is safe or effective.

7. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current information — including your legal name, date of birth, and shipping address — and to update it promptly. Notify us immediately at [email protected] of any unauthorized use.

8. Plans, Pricing, Billing, Renewal, and Cancellation

The highest-risk section — the terms here must match what you actually charge

Federal rules and about 25 state auto-renewal laws require the real billing terms to be shown here and at checkout, just as prominently as the advertised price. Getting this wrong is a common source of legal trouble, so the details below have to be exact. You provide, for each plan: the true recurring charge and how often it bills; any minimum commitment and total price; what happens at renewal and the renewal price; exactly how and by when a customer cancels; your refund policy; and any early-termination fee.

Plan pricing, billing frequency, commitment terms, renewal terms, and cancellation instructions are stated at checkout and summarized here: You provide: the finalized plan table (your lawyer approves the wording once you supply the numbers). You may cancel by You provide: how a customer cancels. Note: California and several other states require an online cancellation option if signup was online..

9. Acceptable Use

You agree not to:

  • Provide false or misleading health or identity information to obtain services or prescriptions;
  • Use the Platform on behalf of another person or share, resell, or transfer any medication received;
  • Access or attempt to access another user’s account or any non-public area of the Platform;
  • Scrape, reverse-engineer, or interfere with the Platform, or introduce malicious code;
  • Use the Platform in violation of any applicable law.

We may suspend or terminate accounts that violate these Terms, subject to appropriate continuity-of-care handling by the treating provider.

10. Intellectual Property

The Platform and its content (excluding your personal information) are owned by You provide: the company that owns the website and content or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Platform for personal, non-commercial purposes. “WellPeps” and associated logos are trademarks of You provide: the trademark owner, and whether any registrations are filed.

11. Communications and Text Messages

By providing your phone number, you consent to receive service-related calls and text messages from us and our providers and pharmacy partners. You confirm: whether you send marketing texts. If yes, a separate text-marketing opt-in with STOP/HELP wording, message frequency, and rate disclosures is legally required — tell us and the web team will add it. Message and data rates may apply. Reply STOP to opt out of texts.

12. Privacy

Your use of the Platform is also governed by our Privacy Policy and, with respect to protected health information, the Notice of Privacy Practices. For California residents, our Do Not Sell or Share My Personal Information page describes your opt-out rights.

13. Disclaimers

EXCEPT AS EXPRESSLY STATED, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WELLPEPS DOES NOT WARRANT ANY PARTICULAR HEALTH OUTCOME. THIS SECTION DOES NOT LIMIT ANY WARRANTY OR RIGHT THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WELLPEPS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, AND OUR AGGREGATE LIABILITY ARISING OUT OF THE PLATFORM WILL NOT EXCEED Lawyer: set the liability cap — commonly the amounts paid in the prior 12 months, or $100, whichever is greater.. THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW, AND NOTHING IN THESE TERMS LIMITS THE PROFESSIONAL RESPONSIBILITY OF TREATING PROVIDERS.

15. Indemnification

You agree to indemnify and hold harmless WellPeps from claims arising out of your violation of these Terms, your misuse of the Platform, or your provision of false information, except to the extent caused by our own negligence or misconduct.

16. Dispute Resolution

A business-and-legal decision — not a default

Lawyer + client: choose how disputes are handled — (a) courts only, (b) arbitration with a class waiver and a 30-day opt-out, or (c) a small-claims carve-out variant — and pick the arbitration forum and who pays the fees. Arbitration clauses in healthcare-adjacent contracts draw regulator scrutiny.

Lawyer: insert the chosen dispute-resolution clause. If arbitration is chosen it must include an informal-resolution first step with a notice address, a small-claims carve-out, consumer fee allocation, a 30-day opt-out mechanism, and severability of the class waiver.

17. Governing Law

These Terms are governed by the laws of Lawyer: the governing-law state — usually the company's home state., without regard to conflict-of-law rules.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by You provide: how you'll notify people — email, an in-account banner, or both at least You provide: how much advance notice, e.g. 30 days before taking effect. Continued use after the effective date constitutes acceptance. Changes to auto-renewal or pricing terms will be disclosed in the manner required by applicable state law.

19. Termination

You may stop using the Platform and close your account at any time by contacting [email protected]. Termination does not by itself cancel an active paid plan — see Section 8 for cancellation. Sections that by their nature survive termination (including Sections 10 and 13–17) survive.

20. Miscellaneous

If any provision of these Terms is held unenforceable, the remainder remains in effect. These Terms, together with the Privacy Policy, Notice of Privacy Practices, Telehealth Informed Consent, and any plan-specific terms presented at checkout, are the entire agreement between you and WellPeps regarding the Platform. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets with notice to you.
